Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Alloy Mentors ("Alloy Mentors," "we," "us," or "our") governing your use of the Alloy Mentors mobile application for iOS (the "App"). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. The Service
Alloy Mentors is a platform that independent organizations — such as volunteer tutoring programs, tutoring businesses, and sports teams — use to run their own programs. Organizations create private workspaces and manage their own members and students, including scheduling sessions, matching mentors with students, tracking attendance and hours, recording student progress, and communicating in-app.
Alloy Mentors provides the software. Each organization is responsible for how it runs its own program and how it uses the App with its participants.
2. Eligibility and Accounts
- You must provide accurate information when you create an account and keep it up to date.
- If you are under 18, you may use the App only as permitted by these Terms and with the involvement of a parent or guardian, whose authorization the App collects during intake.
- You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us promptly at support@alloymentors.com if you believe your account has been compromised.
- You may sign in using an email verification code or, optionally, through Apple, Google, or LinkedIn.
3. Acceptable Use
You agree to use the App respectfully and lawfully. In particular, you will not:
- Harass, bully, threaten, abuse, or intimidate any other person, including through in-app messaging.
- Post or share content that is unlawful, hateful, sexually explicit, or otherwise harmful, especially given that the App is used in programs serving minors.
- Impersonate another person or misrepresent your affiliation with an organization.
- Attempt to access data belonging to another organization or user, or to circumvent the App's security or access controls.
- Use the App to violate any applicable law or the rights of others.
- Interfere with or disrupt the App or the servers and networks that support it.
Reporting and safety tools. The App provides in-app tools to report and block other users. If someone behaves inappropriately, please use these tools and, where appropriate, notify your organization. We may investigate reports and take action, including removing content or suspending accounts.
4. Organizations' Responsibilities
If you use the App on behalf of an organization, or you are an administrator or staff member who enters information about members or students, you additionally agree that:
- You have the authority to create the organization's workspace and to enter the information you provide, including information about members and students.
- You will obtain all required consents and authorizations before entering or sharing participant information. This includes obtaining verifiable parental or guardian consent before collecting or recording a child's personal information, consistent with the Children's Online Privacy Protection Act (COPPA) and any other applicable law.
- You have the authority to record consents on participants' behalf (such as photo/media releases and medical treatment authorizations) and that those records accurately reflect the consents actually obtained.
- You will use participant information only for legitimate purposes connected to running your program, and you will comply with all laws applicable to your organization, including those governing minors, background checks, and child safety.
- You are the party responsible, as between you and Alloy Mentors, for the participant data in your workspace. Alloy Mentors processes that data on your behalf as described in our Privacy Policy.
The consent and agreement templates offered within the App are provided as a convenience for planning only. They are not legal advice and not final binding text. Your organization is responsible for having a licensed attorney review and approve any consent or agreement wording before relying on it.
5. User Content
You retain ownership of the content you submit to the App (for example, messages, notes, and profile information). By submitting content, you grant Alloy Mentors a limited license to host, store, process, and display that content solely to operate and provide the service to you and your organization.
You are responsible for the content you submit and for ensuring you have the right to submit it. We may remove content that violates these Terms or that we reasonably believe is unlawful or harmful.
6. Account Termination
- By you. You may stop using the App at any time and may permanently delete your account in the App at Profile → Delete account. Deleting your account erases it and the records that belong to it.
- By us. We may suspend or terminate your access if you violate these Terms, if your use creates risk or legal exposure for us or others, or if we discontinue the App. Where practical and appropriate, we will provide notice.
- Effect of termination. Upon termination, your right to use the App ends. Provisions of these Terms that by their nature should survive — including Sections 4, 5, 7, 8, 9, and 10 — will survive.
7. Disclaimer of Warranties
The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or free of harmful components, or that any information (including student matching, progress records, or hour logs) will be accurate or complete.
Alloy Mentors does not run the programs that use the App and is not responsible for the conduct of any organization, member, student, guardian, or other user. Decisions about supervision, safety, background checks, and participant care are the responsibility of the organizations and individuals involved, not Alloy Mentors.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
8. Limitation of Liability
To the maximum extent permitted by law, Alloy Mentors and JPX Software Development Co. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising out of or relating to your use of (or inability to use) the App.
To the maximum extent permitted by law, our total liability for all claims relating to the App will not exceed the greater of (a) the amount you paid us to use the App in the twelve months before the claim, or (b) one hundred U.S. dollars ($100).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
9. Indemnification
You agree to indemnify and hold harmless Alloy Mentors and JPX Software Development Co. from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the App, your content, your violation of these Terms, or — if you use the App on behalf of an organization — your organization's handling of participant information or failure to obtain required consents.
10. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Illinois will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the App, and you consent to personal jurisdiction there.
11. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide notice within the App. Your continued use of the App after an update means you accept the revised Terms.
